Terms of Use

1. Agreement to these terms

These Terms of Use (“Terms”) are an agreement between you and Frederick AI (“Frederick”, “we”, “us”) for your use of frederick.ai, app.frederick.ai and our APIs (the “Services”). By creating an account or using the Services you agree to these Terms and our Privacy Policy.

If you use Frederick for a company, you confirm you are authorised to accept these Terms for it, and “you” includes that company.

2. Accounts and teams

• You must be at least 18 and able to form a binding contract.
• Keep your sign-in secure. You are responsible for activity under your account and in projects you own.
• Project owners and admins control who can access a project and what they can do. Members of a project can see its content and use its connected accounts within their role.
• Give us accurate information and keep it up to date.

3. AI agents

Frederick provides AI agents that can research, write, design, code, browse the web, schedule work and act through connected accounts on your instructions.

• Output may be wrong. AI output can be inaccurate, incomplete, or similar to content generated for others. It is not legal, financial, medical or other professional advice. Check it before you rely on it.
• You stay in control. Agents ask for your approval before outward-facing actions such as publishing, sending messages or deploying, unless you have turned on automatic actions for that feature. You are responsible for actions you approve or automate.
• Browser and desktop agents act in cloud sessions using information you provide. Only give them access to accounts and websites you are allowed to use, and follow those websites’ terms.
• Background and scheduled agents run without you watching. Set them up carefully and review their results.

4. Connected accounts

You can connect accounts on platforms such as X, Instagram and YouTube so agents can act on them for you. By connecting an account you:

• confirm you are allowed to manage that account,
• authorise Frederick to access it within the permissions you grant, to do what you ask,
• agree to follow that platform’s terms and policies, including its rules on automation, spam and AI-generated or synthetic content, and
• accept that the platform may change, limit or withdraw access at any time, which may affect what Frederick can do.

By using YouTube features you agree to be bound by the YouTube Terms of Service. Other platform terms: X and Instagram.

You can disconnect an account at any time. How we handle connected-account data is described in our Privacy Policy.

5. Your content and ownership

You own your content — what you upload or enter, and, as between you and us, what agents create for you (“Output”), including code, designs, text and media, to the extent the law allows.

You give us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display your content only as needed to provide, secure and support the Services, including sending it to AI model providers and to platforms you ask us to publish to. This licence ends when you delete the content, except for copies in backups for a limited time or that you have already published.

You confirm you have the rights to the content you give us and that our use of it as described here will not infringe anyone’s rights. Content you post publicly in the Frederick community can be seen and shared by others.

6. Apps you build

You can build and publish apps on Frederick, including on custom domains. For those apps you are responsible for:

• how they work and what they do, and complying with the laws that apply to them,
• your own terms and privacy notice for your app’s users, and handling your users’ data and requests (we process that data on your behalf),
• any payments, products or services you offer through your app, and
• secrets, API keys and third-party services you connect to your app.

We may take down or restrict an app that breaks these Terms or puts users or the Services at risk.

7. Acceptable use

You must not use the Services to:

• break the law, or infringe intellectual property, privacy or other rights,
• send spam, mass unsolicited messages, or fake engagement such as automated likes, follows or duplicate posts across accounts,
• impersonate people or organisations, or publish deceptive or undisclosed synthetic media of real people,
• create or distribute malware, phishing, or content that exploits or harms children,
• harass, threaten or promote violence or hatred,
• gain unauthorised access to systems or accounts, or bypass security, rate limits or usage limits,
• scrape or access third-party services in breach of their terms,
• resell or provide the Services to others without our permission, or use them to build a competing model or service, or
• interfere with the Services or other users.

We may investigate suspected misuse and suspend or remove content, apps, connections or accounts to protect users and the Services.

8. Plans, credits and payments

• Some features need a paid plan or credits. Current prices are on our pricing page and shown before you pay.
• Subscriptions renew automatically each month or year until cancelled. You can cancel any time and keep access until the end of the period you have paid for.
• Agents, browser sessions, deployments, media generation and other features use credits. Credits included in a plan expire at the end of the plan period unless your plan says otherwise; purchased top-up credits are not refundable or transferable and have no cash value.
• Domains bought through Frederick are registered through our registrar partner and renew as a separate subscription. Registry rules and fees apply.
• Payments are processed by Stripe. You authorise us to charge your payment method for fees and taxes. Unpaid fees may lead to suspension.
• We may change prices with notice. Changes apply from your next billing period.

Nothing in these Terms limits rights you have under the Australian Consumer Law or other consumer laws that cannot be excluded, including remedies for services that are not provided with due care and skill.

9. Third-party services

The Services rely on and connect to third-party services, including AI model providers, hosting and payment providers, and the platforms you connect. Their availability and terms are outside our control, and we are not responsible for their acts, content or changes.

10. New and beta features

Features marked beta, preview or coming soon may change, have limits or be removed, and are provided as-is.

11. Suspension and termination

You can stop using Frederick at any time and ask us to delete your account. We may suspend or end your access if you seriously or repeatedly break these Terms, if required by law, or to protect users or the Services. Where reasonable we will give notice first.

When your account ends, we will delete your content as described in our Privacy Policy. Export anything you want to keep first. Sections that by their nature should continue (such as ownership, disclaimers, liability and governing law) survive termination.

12. Disclaimers

To the extent the law allows, the Services are provided “as is” and “as available”. We do not promise that they will be uninterrupted, error-free, or that Output will be accurate or fit for a particular purpose, or that a third-party platform will accept content you publish.

13. Limitation of liability

To the extent the law allows, Frederick is not liable for indirect or consequential loss, or for loss of profits, revenue, data or goodwill. Our total liability for all claims relating to the Services is limited to the greater of the amount you paid us in the 12 months before the claim and AUD $100.

Where the Australian Consumer Law applies and our liability can be limited but not excluded, it is limited to supplying the services again or paying the cost of having them supplied again. Nothing in these Terms excludes liability for fraud, or for death or personal injury caused by our negligence.

14. Indemnity

You will cover our reasonable losses and costs from third-party claims arising from your content, apps you build, actions you approve or automate through connected accounts, or your breach of these Terms or the law, except to the extent caused by us.

15. Changes to these terms

We may update these Terms. For significant changes we will notify you in the app or by email at least 14 days before they take effect. If you keep using the Services after that, the new Terms apply. If you don’t agree, you can stop using the Services and cancel your plan.

16. Governing law

These Terms are governed by the laws of New South Wales, Australia, and the courts of New South Wales have jurisdiction. If you are a consumer living elsewhere, you also keep the protection of mandatory laws where you live.

General

If part of these Terms is unenforceable, the rest still applies. Not enforcing a term is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger or sale of our business. These Terms and the Privacy Policy are the entire agreement about the Services.
